DWF advises Rubis Terminal in the acquisition of TEPSA

DWF has advised the Rubis Terminal group in the acquisition of TEPSA, a leading Spanish bulk liquid storage operator.
DWF has advised the Rubis Terminal group, a joint venture between Rubis, a French listed company specialising in downstream oil and chemicals, and I Squared Capital, a global infrastructure investment manager, in the acquisition of TEPSA, a leading Spanish bulk liquid storage operator.

The Rubis Terminal group was advised by DWF, acting as lead counsel on both Corporate and M&A elements of the transaction. The team was led by partner Pascale Gallien,  assisted by Vincent Maufront, counsel, Marie-Noëlle Guilpain, associate, and Valérie Cruet, paralegal. Law firm Pérez-Llorca advised the Rubis Terminal group on Spanish law aspects. Law firm CMS Francis Lefèbvre also provided tax assistance on the transaction.

DWF also advised the Rubis Terminal group on the financing of the transaction, alongside White & Case and Linklaters LLP.

The Pétrofrance group, owners of TEPSA, was assisted by Gide Loyrette Nouel, with partners Olivier Diaz and Charles de Reals, alongside Henri Stiegler, associate, on Corporate and M&A, with the assistance of the law firm Cuatrecasas on Spanish law matters.

The Bank consortium was advised by Latham & Watkins.
