The transaction consisted in the acquisition of 100% of shares in Marflex - M.J. Maillis Poland Sp. z o.o., a part of the Maillis Group (which is part of the portfolio of H.I.G Capital), the world's second largest manufacturer of end-of-line packaging equipment and supplier of consumables such as strapping and film products, from Maillis Holdings S.à r.l. The acquisition took place together with a US based co-investor, Sigma Plastics Group.
DWF advised on Polish aspects of the transaction, including due diligence, drafting and negotiation of documentation. The project was supervised by Dr Michał Pawłowski (Managing Partner) and Dr Rafał Woźniak (Local Partner) from the Corporate and M&A Department. The team involved in the project also included inter alia: Anna Wietrzyńska-Ciołkowska (Local Partner), Lech Najbauer (Counsel - competition), Mateusz Bąk (Associate).
