Alexander Szehidewicz

Partner: Leveraged Finance & Corporate Lending, London

Alex is a Partner in the Finance & Restructuring team in London, with a focus on leveraged finance and general corporate lending. He has experience working across a wide spectrum of deal sizes including mid-market and larger underwritten deals and acts both sponsor and creditor side.

Experience

Alex previously worked in the finance teams of several leading international law firms, including US, silver and magic circle firms before joining DWF Law LLP.  His clients include banks, credit funds, private equity houses, and corporate borrowers.  Many of the transactions on which Alex advises are cross-border and he is experienced in dealing with issues relating to security across multiple jurisdictions.  He is also experienced in dealing with complex intercreditor arrangements and distressed refinancings.

Alex provides a high level of technical expertise, balanced with a practical and commercial approach and is known for being able to execute complex transactions under time pressure, while being responsive and decisive. 

Recent Cases

  • Acting for Inflexion Private Equity in relation to an acquisition financing for an insurance brokerage including a refinance to bring Natwest into existing senior facilities as Super Senior RCF Lender.  Subsequently acting on various bolt-on acquisitions – including an amendment and restatement to fund a particular target and advising on the eventual sale/exit.
  • Acting for Sovereign Capital on new facilities being provided for the purpose of refinancing of an equity bridge investment for the acquisition of LB Group / Affinia – one of the UK’s fastest growing accounting groups.  Acting on subsequent refinancing events including – (i) an upsize to bring in an increased CAF facility and super senior RCF and (ii) the establishment of an incremental facility, prior to exit.
  • Acting for a Software Group putting in place a £105,000,000 senior facilities agreement involving overseas security from group companies in US, Netherlands, Romania, Scotland and Ireland.
  • Acting for Cardinal Maritime in respect of an EOT financing under a facility agreement which was used for funding (in part) the consideration payable by the EOT to the shareholders for the EOTs acquisition of 65% of the company.  This deal represented the largest EOT transaction undertaken in the UK to date, and the largest EOT for a shipping logistics company in the world.  Enterprise value of the company was circa £200m.  Acting on a subsequent amendment to convert the term loan into an RCF.
  • Acting for a Reinsurance Group in relation to a new £125,000,000 acquisition financing.
  • Acting for LDC (and working alongside Arrowpoint debt advisory) in relation to an acquisition facility to finance the acquisition of Panthera Bio Partners.
  • Advising a Republic of Congo borrower on a $300,000,000 asset reserve based oil financing with the facility being provided by an African lender in respect of the development of a 7000sqkm oil field in the Republic of Congo.  The transaction involved a number of jurisdictions, ROC, HK and Singapore with complex and bespoke contractual and security arrangements being negotiated (total project value + £1,000,000,000).
  • Acting for HSBC UK Bank plc in relation to a working capital facility being provided to a borrowing group in the construction industry – a hybrid leveraged / real estate finance approach to documentation of the facilities and bespoke covenants to mitigate the risk of a potential (substantial) tax liability which was discovered during diligence.
  • Acting for HSBC UK Bank plc in relation to an acquisition and working capital facility, involving a number of jurisdictions including France, Germany, Spain, Netherlands, US and Belgium.
  • Acting for Triplepoint Private Credit in relation to a leveraged term and revolving credit facility for a PE backed LBO of a damp proofing business.
  • Acting for Virgin Money in relation to an acquisition and working capital facility provided in respect of a Pharmaceutical company.
