DWF advises Rubis in its partnership with I Squared Capital in Rubis Terminal

DWF assisted Rubis, a group listed on Euronext Paris (FR0013269123 RUI) with a market value of more than four billion euros and an independent international operator specialising in downstream oil and chemicals, in connection with the setting up of its partnership in Rubis Terminal with I Squared Capital through the ISQ Global Infrastructure Fund II.

Paris, 12 May 2020. DWF assisted Rubis, a group listed on Euronext Paris (FR0013269123 RUI) with a market value of more than four billion euros and an independent international operator specialising in downstream oil and chemicals, in connection with the setting up of its partnership in Rubis Terminal with I Squared Capital through the ISQ Global Infrastructure Fund II.

DWF was involved in the legal structuring, preparation, negotiation, implementation and completion of this partnership. On this occasion, DWF also led a reorganization of the Rubis Terminal division with the support of its Belgian office and its Belgian (Strelia), Dutch (Dirkzwager Legal & Tax), Turkish (OGB Attorney Partnership) and Brazilian (Pinheiro Neto Advogados) correspondents. DWF also advised Rubis Terminal in the restructuring of existing indebtedness and assisted in its refinancing for a total amount of 410 million euros.

The transaction valued the Rubis Terminal division at circa. one billion euros, and allowed Rubis Terminal to be deconsolidated.
