Ravi advises international and local private fund sponsors and investment managers on all aspects of the private fund investment life cycle, from structuring and capital raising to investment, through investment management and onto exit.
His extensive international expertise spans key private fund and alternative asset jurisdictions such as the UK, Luxembourg, United States, the Netherlands, Jersey, Guernsey, Cayman, BVI, Gibraltar etc.
In particular, he advises private fund sponsors and investment managers on:
- structuring, marketing, negotiating and operating private investment fund and other unregulated investment arrangements;
- close-ended and open-ended structures;
- onshore, offshore and cross-border funds, structures and investment arrangements;
- the full range of management incentives, including carried interest and house commitment arrangements.
Co-investments & Deal-By-Deal:
Ravi helps investment fund managers develop and execute co-investment and other structures to raise and invest capital either alongside existing investments or as standalone transactions. This covers co-investment structures; deal-by-deal structures; pledge fund and framework arrangements; holding company solutions; and other structuring arrangements.
Indirect Secondaries and Other Liquidity Solutions:
Ravi advises fund sponsors and GPs, secondary buyers and fund investors on executing secondaries and other fund-related transactions, including: LP portfolio sales and acquisitions; stapled secondaries; GP-led fund restructurings; strip sales; and other secondaries arrangements.
Fund Regulation and Marketing:
Ravi specialises in enabling non-EU fund sponsors to overcome EU regulatory hurdles in order to access EU institutional and retail investors. Similarly, he advises non-UK fund sponsors on accessing UK retail and institutional investors. He advises on:
- EU fund regulatory and marketing regimes, such as the Alternative Investment Fund Managers Directive (AIFMD), European Venture Capital Fund Regulation (EuVECA), European Long-Term Investment Funds Regulation (ELTIF), Cross-Border Marketing Rules etc.
- UK fund regulatory and marketing regimes, such as Alternative Investment Fund Managers Regulation (AIFMR), Registered Venture Capital Fund Regulation (RVECA), Collective Investment Scheme regime (CIS), Financial Promotion Order (FPO) etc.
Investor Representation:
Ravi is experienced in advising a wide range of investors around the globe on their investments in private investment funds and SMAs (e.g. private equity, venture capital, real estate, fund-of-funds, debt / credit, infrastructure and hedge).
