Our GEM services

  • Compliance Service

    Compliance Service

The foundation of our support comes from our compliance service, designed to cover those key annual requirements across the world, while providing you a straightforward scope of service delivered under a fixed fee per entity per annum.

The core scope of our service includes:

    • Onboarding and health check of your corporate records and registers
    • Maintenance of your records and registers
    • Notifications of upcoming compliance obligations
    • Completion of your year-end formalities, including annual secretarial returns and annual approvals
    • Support for two event driven routine changes per entity, such as director changes, which may arise during the course of the year
    • Notices regarding upcoming changes to company secretarial law and practice, and support to implement where changes are needed
  • Associated services

When having a presence internationally, we understand you may need support to fulfil additional local conditions, such as corporate secretary or director positions, provision of registered office, or similar specific requirements. We will assist in fulfilling these additional requirements through our network of specialists, where it is not possible to meet these from your internal set up.
  • Health Check

    Health Check

Understanding your subsidiaries is key in order to maintain compliance, have access to up-to-date information and implement wider corporate projects without issue. Our health check service can deliver a snapshot of your current corporate data and compliance requirements to provide you with a clear understanding of your business requirements.

Completed as part of our compliance service, or as a standalone project, we review your corporate records, the information at the local commercial register, and your corporate entity database (if already in place). We then provide report of the key data for each entity and highlight any issues that may need rectifying. We can also assist with any issues identified to bring your subsidiaries into compliance with local requirements.

  • Project support

    Project support

When changes arise that impact multiple entities across your group, it can be a challenge to resource and manage the implementation, especially when multiple countries and local contacts could be involved. By utilising our dedicated and experienced team to manage changes, we can lead global projects including:

    • Incorporations
    • Entity closures
    • Board changes
    • Power of attorney changes
    • Change of company addresses
    • Change of ultimate beneficial owners
    • Constitutional document reviews and alignment
    • Post-acquisition integration projects (such as changes of company names, financial year end, share structures)

With central engagement and project management, we take control of the project, and coordinate our global network to deliver to deadlines and to budget.

  • Directors’ duties

    Directors’ duties

Undertaking the role of Director across a number of jurisdictions can be a challenge, with different legal structures, cultures and processes leaving a Director uncertain of the expectations of their position for each appointment.

We can assist in providing guidance and training to directors, covering their key duties, obligations, liabilities, and protections for each country they are appointed to. We can provide reference material and workshops to assist directors preparing for a new role, refresh more experienced directors and help your internal teams supporting directors on local requirements.
