The placement in service of the listing was exclusively aimed at (i) primary Italian and foreign institutional/qualified investors and (ii) the general public (retail investors) in such a manner, in terms of quality and/or quantity, as to benefit from the exemption from the obligation to publish a prospectus. The placement price of the shares subject to the offer was set at Euro 1.00 per share, following the placement of a total of 2,127,000 ordinary shares, of which 1,849,500 newly issued ordinary shares deriving from the capital increase reserved to the market and 277,500 existing ordinary shares corresponding to approximately 15% of the number of shares subject to the capital increase, for the purposes of exercising the over allotment option granted to Integrae SIM S.p.A, as Global Coordinator, by the reference shareholder Espe Tecnologie S.r.l.
