Experience
Gemma is a Director who works predominantly alongside Paul Pignatelli in the Glasgow corporate team. She has long established relationships with a number of DWF's key corporate clients including Aliter Capital, Ambassador LB Holdings, Element and Apleona.
Gemma has significant expertise in M&A, equity investments, joint ventures, corporate restructuring and related governance matters.
Recent Experience includes:
- acting for Aliter Capital, private equity fund on a variety of general corporate matters and acquisitions, including fourteen of their acquisitions since their maiden fund was created in 2017, most recently:
- advising in relation to their investment in Jumar Holdings (West Midlands headquartered tech talent, digital transformation and technology solutions business) in September 2023;
- advising in relation to their significant secondary investment in engineering business, Edwin James Group Holdings Limited in February 2023;
- advising in relation to acquisition of network infrastructure business, ITM Communications in December 2022;
- advising in relation to the fund's first disposal of North to PE investor Livingbridge in 2021;
- acting for European integrated FM company Apleona on its September 2023 acqusition of JCW Group;
- acting for a national wealth management group in its summer 2023 acquisition of the business and assets of wealth management company;
- acting for vendor shareholders in their disposal of a Glasgow based nursery in June 2023;
- acting for Element on its share acqusition of EnviroDat (UKAS and MCERTS accredited specialists in air quality monitoring);
- advising Calmont Homes (Oak Meadows) Limited, a property management and development business, on investment from Maven Capital Partners UK LLP in July 2021.
