DWF advises KGAL on acquisition of 27 MW wind farm in Poland

DWF in Poland advised the ESPF 4 fund managed by KGAL on acquisition of 27 MW wind farm project, from the Boryszew Group

The transaction consisted in the acquisition of 100% shares in "EW RYWAŁD" sp. z o.o. for the price of EUR 11 million. 

DWF advised on due diligence, preparation of documentation and its negotiation with the seller, as well as supported in closing. The deal was led by Karol Lasocki (Head of Renewable Energy) and Rafał Woźniak (Local Partner, Corporate) with Adrian Jonca (Partner) advising on tax. The deal was also assisted by Małgorzata Lesiak–Ćwikowska (Counsel), Krzysztof Jagiełło (Senior Associate), Katarzyna Stec (Senior Associate), Wiktoria Rogaska (Counsel), Olga Wiśniewska–Pietrzak (Senior Associate), Patrycja Figuła (Junior Associate), Joanna Derlikiewicz (Junior Associate), Przemysław Bugnacki (Junior Associate) and Michał Zaniecki (Staff Lawyer). 

The special AIF KGAL ESPF 4 closed at the end of 2019 with 750 million euros in equity commitments and has already invested over 85 percent of its capital. The Fund is managed by KGAL, a leading independent investment and asset manager with assets under management of approximately EUR 11.2 billion and assets under administration of EUR 4 billion. The focus of the investments is on long-term real capital investments for institutional and private investors in real estate, infrastructure and aviation. The Group, founded more than 50 years ago, operates across Europe and is headquartered in Grünwald near Munich (as of 31 December 2020).
