DWF advised ENERTRAG on the sale of wind parks in Poland

Our team in Poland have advised ENERTRAG on the sale of wind farms to Allianz Capital Partners.

The transaction consisted in the sale of a package of two projects, Dargikowo and Karlino.

Dargikowo and Karlino are located in the north-west of Poland. With a production capacity of 133 MW for Dargikowo and 53 MW for Karlino, these wind parks can provide renewable energy to approximately 260,000 average households per year. This would be enough to supply a city the size of Poznań with clean energy.

The scope of DWF Poland's advisory included preparation of transaction documentation, its negotiation with the buyer as well as support in the closing phase of the transaction and subsequent conclusion of the EPCM contract as well as long-term technical and commercial management agreements between ENERTRAG and the project SPV. The work was complemented by our tax advisory team. 

The project was supervised by Karol Lasocki, Head of Renewable Energy at DWF, Rafał Woźniak, Corporate M&A partner, Adrian Jonca, Tax partner and Rafał Morek, Construction & Infrastructure partner. The team of lawyers engaged also included: Wiktoria Rogaska, counsel, Jan Markiewicz, senior associate, Krzysztof Jagiełło, senior associate, Katarzyna Stec, senior associate and Piotr Michajłow, associate.

ENERTRAG provides services related to renewable energy. It effectively combines electricity, heat and mobility in all areas of life. ENERTRAG produces 1.68 million MWh annually and has a service network of more than 1,125 wind turbines.
