Plant Health Care is a leading provider of proprietary biological products to global agriculture markets with its products supporting sustainable food production by using environmentally sustainable peptides to enable farmers to increase produce from less land whilst protecting soils and biodiversity.
The transaction valued Plant Health Care at £32.8 million and the scheme became effective on 20 August 2024.
The DWF corporate team was led by John Campion (Partner) and Jemil Visram (Director), alongside Jagdeep Lall (Solicitor), Pippa James (Solicitor) and Adil Jahangir (Trainee). Andrew Harris (Consultant), Oleksandra Vytiaganets (Associate), Victoria Harkness (Associate) and Alice Gilman (Solicitor) supported with the court sanctioned scheme of arrangement. Tax and Share Incentives advice was provided by James Cashman (Partner), Callum Young (Associate) and Douglas Pyrke (Solicitor). PHC was advised on the financial terms of the takeover by Cavendish Capital Markets Limited. PI Industries was advised by Shoosmiths and Zeus Capital Limited.
